What should we do if a Thai bank refuses to open our company account?
2026-10-04

Once the business licence is issued, opening a bank account is usually the first task. Under Z&X's current schedule, opening takes about 1 working day, internet banking about 3 weeks, and the account can normally send and receive payments about 4–5 weeks after engagement (see Which post-incorporation steps can run in parallel?). In the past two years, however, Thai banks have tightened account opening for foreign-held companies considerably, and refusals or requests for more documents are common.

1. Common reasons for refusal

ReasonWhat the bank is worried about
Authorised signatories did not attend in person, or the foreign director lacks a suitable visa or work permit (requirements vary by bank)Cannot verify the signatory's identity or long-term management presence in Thailand
Unclear what the company does, who its customers are, where money comes from and where it goesMoney laundering and sanctions risk
Multi-layer shareholding with no visible ultimate beneficial ownerLack of transparency over real control
Virtual registered address with no actual officeShell company risk
Expired company certificates, or specimen signatures inconsistent with registrationAuthenticity of documents

2. What to do after a refusal

  1. Ask for the reason: ask the relationship manager which point failed; do not submit the same file unchanged to another bank.

  2. Add a business explanation: business model, main customers and suppliers, expected monthly turnover and source of funds, with contracts, orders or the factory lease attached.

  3. Map the ownership: chart the structure from the Thai company up to the ultimate individual shareholders, with registration certificates for each layer.

  4. Adjust signing arrangements: appoint a director who holds a suitable visa or work permit and is based in Thailand as authorised signatory, or add a signatory.

  5. Switch to a better-matched bank: banks differ in their appetite for industries, client types and foreign signatories; Chinese-invested companies may prefer banks with Chinese-speaking service teams.

3. Preparation before you apply

  • Obtain fresh company certificates within the validity period the bank requires.

  • Have passports, visas and work permits (if any) of authorised signatories ready, and book their attendance.

  • Prepare the business explanation and ownership chart in advance and submit everything on the day.

4. Legal basis and scope of service

Basis: Anti-Money Laundering Office (AMLO) customer due diligence requirements for financial institutions; account opening document lists published by commercial banks. Requirements differ between banks and change over time; the bank's current requirements apply. Z&X arranges appointments and accompanies clients, guides document preparation and supports the whole process; the decision to open an account rests with the bank.
