Service Positioning: Scope and Boundaries
Z&X provides linked services covering entity setup, day-to-day finance and tax, and remediation of past compliance for Chinese cross-border e-commerce companies preparing to enter Thailand or already operating there. We first establish who sells to consumers, who owns the goods, and who imports and receives payment, then determine the business scope, shareholding and capital arrangements, and carry the same set of transaction relationships through contracts, platform accounts, inventory and the books.
Cross-border e-commerce companies have more questions to answer: whether local sales are lawful, how platform transactions are recorded, and how responsibilities are separated across multiple stores. A platform allowing a store to open, a company completing registration and the business obtaining lawful access are separate matters, each of which needs to be verified. Ordinary merchandise sales cannot simply follow the BOI route used for manufacturing.
| Feature of cross-border e-commerce | Additional assessment by Z&X |
|---|---|
| Moving from cross-border direct shipping to local warehouse fulfilment | Verify the actual seller, transfer of title, importer and warehousing relationship, and determine the transaction and tax responsibilities borne by the Thai entity. |
| Multiple platforms, stores and entities | Map each store to its contracting entity, receiving account and taxpaying entity, and keep group management reports separate from each company's statutory books. |
| Frequent promotions, refunds and net settlement | Break down sales, discounts, refunds, platform subsidies, commissions and logistics fees, check their attribution and period, and explain the difference between sales and amounts received. |
Scope of Services: What Z&X Handles for Chinese Cross-Border E-commerce Companies
| Service | E-commerce-specific content |
|---|---|
| Market access and entity setup | Assess foreign business access separately for retail, wholesale, import/export and supporting services, and check licensing, capital and other conditions; handle the agreed company setup, applicable Foreign Business License application, tax and other registrations, and assist with bank account opening.〔1〕 |
| Imports and inventory | Check purchase contracts, commercial invoices, import and duty payment documents, and warehouse receipt and sales records; identify issues such as a mismatch between the importer and the operating entity, or goods sold without verifiable purchase costs. |
| Platform accounting and tax filing | Collect orders, settlement statements, and bank and payment account transactions by entity; handle refunds, fees, inventory and costs; link the applicable VAT, withholding tax, income tax, payroll and social security filings. |
| Marketing and overseas payments | Distinguish individual influencers, agencies, and payees in and outside Thailand; determine withholding tax and VAT obligations on commissions, advertising fees and platform fees based on the actual services; check contracts, invoices and withholding tax certificates.〔3〕〔5〕 |
| Review and remediation of past periods | Sort out zero filings, under-filings and missing documents by entity and period, estimate the tax and possible additional costs, and make corrections in accordance with the law; bring current filings into order alongside the review of past periods. |
| Profits and head office | Estimate each entity's after-tax profit and cash needs; based on real transactions and distributable profits, check related-party pricing, treaty application and remittance documents, and link with the annual audit.〔4〕 |
The exact combination is set by the agreed scope of engagement. Platform operations, store approval, warehousing and logistics, customs declarations, product certification and special licenses are the responsibility of the company and the relevant professional providers; Z&X identifies where these connect. ODI and foreign exchange registration in China are arranged separately; government fees and third-party costs are listed separately. Z&X does not provide nominee shareholders or false invoice arrangements, and approvals and bank account opening are subject to review by the competent authorities and banks.
How Z&X Differs from Standard Registration Agents and Bookkeeping Services
E-commerce operations staff know sales and ad spend, the warehouse holds the goods, and finance holds the receipts. Each party's data serves its own purpose, but together it may not explain the income and costs of the taxpaying entity. The additional work Z&X does is to restore operating records into transactions that can be verified from a legal, finance and tax standpoint, and only then handle registrations and filings.
| Point of comparison | Single-task agency approach | How Z&X handles it |
|---|---|---|
| Starting point for setup | Sets up the company structure the client has chosen. | First verifies sales, import and payment responsibilities, compares the conditions and costs of lawful routes, then determines the entity and business scope. |
| Basis for bookkeeping | Records the summary income provided by the client. | Reconciles orders to settlements and amounts received, keeps refund and fee details, and does not record net receipts directly as sales revenue. |
| Managing multiple stores | Files tax company by company, without cross-checking related parties. | Accounts for each entity separately, while checking shared inventory, expenses paid on another entity's behalf and related-party balances, so that profits or costs are not placed in the wrong entity. |
| Handling issues | Sends the work back to the client to fill in missing documents. | The China team tells head office, operations and purchasing exactly what is needed; the Thai team checks local documents and filing requirements, and submissions are made once confirmation records are in place. |
For example, if one settlement deducts platform commission, shipping fees and last month's refunds at the same time, looking only at the bank receipt mixes up income, expenses and periods; looking only at gross sales may miss cancelled orders. Z&X checks the original details and transaction terms, explains each difference, and separately assesses the conditions for deducting expenses and claiming input tax. Platform deductions cannot be broadly treated as tax already paid on the merchant's behalf.
In e-commerce projects, Z&X's in-house CODE compliance-growth model works as follows: O coordinates stores, entities and transaction structure; D defines the confirmation responsibilities of the Chinese and Thai teams and of the client's operations, purchasing and finance staff; C tracks filing and remediation deadlines; E keeps reconciliation working papers, policy references, confirmation records and filing receipts. Accounting, tax and later audits can therefore use the same set of records.
Service Value: Which Concerns of Chinese Cross-Border E-commerce Companies Z&X Addresses
| Client concern | How Z&X responds and the value it brings |
|---|---|
| Can a foreign-owned company run local stores in Thailand? | Distinguish online sales channels from the actual nature of the business and check retail, wholesale and service access item by item, so that business restrictions are not discovered only after the registration documents are issued. |
| Platforms now report data. How should past zero filings be handled? | Platforms that meet the conditions must report the prescribed data; this does not mean every platform reports all sales. Z&X checks the applicable rules and past differences, proposes corrections in accordance with the law, and keeps explanations of the differences.〔2〕 |
| Can we still keep a profit after becoming compliant? | Separately estimate output tax and compliant input tax, deductible costs, applicable incentives and funds tied up; keep tax, operating expenses and back-tax costs apart, rather than simply adding tax rates together and treating the sum as the actual tax burden.〔3〕〔5〕 |
| Will remediation across multiple stores get out of control? | List each entity's issues, statutory deadlines, the people responsible for documents and funding needs, and organise the work by urgency; doing the work in batches does not change the statutory obligations of each entity and each period. |
| How can profits be repatriated to head office in a compliant way? | Distinguish dividends from payments for real services, and check profit, transaction, withholding tax and bank records for head office to assess funding arrangements, rather than using fictitious service fees in place of dividends. |
Application Scenarios: Which Chinese Cross-Border E-commerce Companies This Service Fits
| Company situation | What Z&X focuses on |
|---|---|
| Moving from shipping directly from China to holding local stock in Thailand | Coordinate market access, imports, warehousing and the first period's accounting and tax, reducing repeated changes to transaction arrangements after the entity is set up. |
| Selling on multiple platforms such as TikTok Shop, Shopee and Lazada | Clarify which store belongs to which entity, standardise data collection rules, account for each separately and produce management reports for head office. |
| Real business activity but long-term zero filings or filings based on net receipts | Check past transactions, costs and filing differences, estimate the impact of corrections, and set up an ongoing reconciliation process. |
| Settlement by an overseas entity, imports through related parties, or shared warehouses | Check the relationships between title to goods, contracts, customs declarations and payments, adjust later business and document arrangements, and support explanations of related-party transactions. |
Deliverables: What Z&X Delivers to Chinese Cross-Border E-commerce Companies
