The value of BOI is not just "paying less corporate income tax"; it combines tax incentives, imports of machinery/raw materials, foreign skilled professionals, land, and certain foreign business operating rights within a single investment promotion framework. For manufacturing, what really needs to be calculated is: whether the incentives can reduce the project's initial investment and ongoing tax burden, whether they can shorten the path for putting equipment and talent in place, and whether the enterprise can continue to meet the certificate conditions over the long term.
| Value Item | Common BOI Entitlements | What Enterprises Should Watch |
|---|---|---|
| Corporate income tax (CIT) | CIT exemptions for a certain number of years according to the activity category and promotion measure; the common base tiers include 3, 5 and 8 years, while specific activities/measures may be higher or carry additional incentives. | Do not look only at "how many years"; also examine the exemption cap, the conditions for when the period starts, and whether the additional regional/competitiveness conditions are met. |
| Import of machinery and equipment | Machinery and equipment meeting the certificate conditions may apply for import duty privileges under BOI rules. | The equipment must correspond to the approved project, the approved list and the import milestones. |
| Raw materials for export | Raw materials or essential materials used to produce export products may enjoy import duty privileges under BOI rules. | Subsequent list management, issuance/usage, write-off and evidence chain management are long-term tasks. |
| Tax-exempt profit dividends | Dividends paid out of BOI tax-exempt profits may enjoy a corresponding income tax exemption when the statutory conditions are met and the distribution takes place within the prescribed window. | Profit repatriation must be planned in advance; it cannot be decided on the spot after the tax exemption period has ended. |
Foreign business operation and shareholding arrangements. For projects that are promoted and meet the relevant legal conditions, the corresponding operating qualifications can be obtained through the BOI/FBA mechanism; whether 100% foreign ownership can be achieved must be judged according to the specific activity and certificate conditions.
Land. A BOI-promoted project may apply for the land rights required by the project under the Investment Promotion Act and the certificate conditions, which is one of the important values for manufacturing site selection.
Foreign skilled professionals. A BOI project may apply under the promotion system to bring in technical personnel and experts, with facilitation for the related visas/work permits; this suits projects that need core technical and management staff dispatched from a Chinese headquarters.
Funding and project management. The BOI certificate institutionalizes key conditions such as the investment amount, equipment, production capacity, location and production start date; it is both the basis for incentives and an important framework for the headquarters to manage project commitments.
BOI does not mean "automatically enjoying all incentives once the certificate is obtained". Entitlements such as equipment, raw materials, corporate income tax and dividends each have their own application, reporting, evidence and timing requirements; when the product, investment amount, factory site, equipment or progress changes, it must also be assessed whether a change filing is required. Therefore, Zhongxin does not recommend calculating only "how much BOI can save", but also "what management mechanism needs to be established in order to stay compliant over time", ideally with the assistance of a tax and accounting firm with full-cycle compliance capability in both China and Thailand.
This is where C and E in Zhongxin's Compliance Growth CODE Model fit best: C (Compliance Calendar) puts the application and reporting timelines of the various incentives into an annual rhythm; E (Verifiable Delivery) ensures that equipment, raw materials, tax and dividends all have a complete evidence chain, avoiding the situation of "being entitled but failing to use it well".
| CE | Meaning | Application to This Question |
|---|---|---|
| C | Compliance calendar | Schedule the applications and reports for each BOI incentive, such as duty-free registration of machinery and raw materials, raw material reconciliation, half-year progress reports and the annual CIT exemption application, into a fixed annual rhythm. |
| E | Verifiable delivery | Keep the applications, approvals, receipts and delivery lists for machinery, raw materials, corporate income tax and dividend incentives as a complete evidence chain, so the company does not end up qualified but unable to use its incentives properly. |
It is recommended to calculate at least four variables: expected profit and CIT savings, the import duty burden on equipment, the scale of raw material imports, and non-tax needs such as foreign experts/land, and then compare them together with the application cycle, ongoing reporting and management costs. For manufacturing projects with heavy equipment investment, a high export ratio and a need for a Chinese technical team stationed in Thailand over the long term, the overall value of BOI is usually greater than looking at corporate income tax alone.
Policy sources / official basis: BOI 2025 Investment Promotion Guide / official FAQ, where different activity categories correspond to different CIT incentives, and the incentives also include import duty privileges for machinery and equipment and for raw materials used for export, as well as non-tax entitlements such as bringing in foreign technical personnel and land; BOI Criteria for Project Approval, covering approval conditions such as the minimum investment amount, debt/equity ratio and environment; BOI Corporate Income Tax / Dividend rules, under which dividends paid out of tax-exempt profits should be distributed within 6 months after the end of the corporate income tax exemption period, and qualifying dividends may enjoy a tax exemption.
