Is the process complicated if the company relocates its registered address, increases capital, or changes directors after incorporation?
2026-09-30

It is not complicated, but it also should not be simplified as "changing one form and you are done". Relocation, capital increase and changes of directors/signing authority are all changes to company registration information: a corresponding company resolution usually has to be formed first, and the change is then filed with the Department of Business Development (DBD) of Thailand; afterwards it may trigger knock-on changes in the tax, social security, banking and BOI systems. The real risk is not the DBD filing itself, but changing only one authority while the other registrations are not updated in sync.

I. What Must Be Handled for the Three Common Types of Changes?

Type of ChangeAt the DBD LevelCommon Knock-On ItemsNotes from Zhongxin
RelocationFile the change of the registered head office address; in the case of cross-province relocation, changes in jurisdiction also need attention.VAT/tax address, social security, bank, contracts and certain licenses. The new address should still have genuine and verifiable ownership or use evidence, a map and site documentation.
Capital increasePass a shareholders' resolution in line with corporate governance requirements, amend the capital-related registration and file it with the DBD.Paid-in capital, capital verification/booking, bank, and the capital conditions of the BOI project.Do not look only at "how much you want to increase"; first check the funding path, the BOI conditions and the subsequent paid-in arrangement.
Change of directors/signing authorityFile the change of directors and of the company's external signing conditions.Bank signing authority, online banking approvals, tax/social security authorizations and contract authority.DBD signing authority and bank payment authority are not the same thing and must be updated separately.

II. Why Do Companies Most Often Have to Redo Work on "Knock-On Changes"?

  1. Inconsistency between the company resolution and the registration wording. If the information in the board resolution, the shareholders' resolution and the articles of association/registration form does not match, corrections are likely to be requested.

  2. Only the DBD is changed, without updating the other authorities at the same time. For example, after an address change, the VAT, social security, bank and licenses still show the old address, which causes inconsistencies in later filings, invoicing or on-site inspections.

  3. BOI companies fail to first assess whether the certificate is affected. If the capital increase, factory site, directors or project implementation conditions are related to the BOI certificate, a joint BOI assessment should be carried out before submitting the company change.

III. How Zhongxin Tax & Accounting Recommends Handling It: Coordinate First, Then Change

Zhongxin usually first sets out a change checklist covering "what is to be changed - who approves it - which systems must be updated in sync - what documents will remain after completion", and then arranges the sequence for the DBD and the other authorities. In practice, a single-item change with complete documents and smooth resolutions and signatures is often estimated at about 1-2 weeks; where cross-province relocation, BOI knock-on effects, bank authorizations or complex equity/capital arrangements are involved, more time should be reserved, subject to the reviewing schedule of each authority at the time.

This type of matter is suited to applying Zhongxin's Compliance Growth CODE Model:

CODEMeaningApplication to This Question
OOverall structuringFirst assess the knock-on links among company registration, capital, address, director authority and BOI, so as to avoid changing one place and creating conflicts in several others.
DChina-Thailand dual-track coordinationThe Chinese headquarters confirms the governance intent and authorization boundaries first, and the Thailand team then implements them according to local procedures.
EVerifiable deliveryKeep the resolutions, registration documents and bank/tax change records to form traceable evidence for subsequent audit and compliance purposes.

IV. Professional Boundaries

Company changes themselves can be managed in a standardized way, but the specific type of resolution required, the manner of signing, whether a BOI change is triggered, and the tax/social security treatment of a cross-province relocation should be judged in light of the company's articles of association, the existing registrations and the actual project. Where legal opinions or complex shareholder disputes are involved, a Thai lawyer should issue a professional opinion.

Policy sources / official basis: DBD e-Certificate / e-Service, where the documents for a change of registration of a limited company include the amended articles of association/memorandum and Bor.Jor. 4 (application to register a change and/or a special resolution); the official DBD Certificate of Business Registration sample form, which lists directors, authorized signatories, registered capital and head office address as statutory registration information; DBD Online Services / DBD Biz Regist, the digital juristic person registration system.

V. Next Step Recommendation: Do a Joint Verification Before Making the Change

If your company has already decided to relocate, increase capital or adjust the directors/signing authority, it is recommended to first check the change items together with BOI, VAT, social security and bank authority in one table before submitting to the DBD, so as to avoid the situation where "the company's licenses have been changed while other systems still show the old information".
