What is a reasonable registered capital amount?
2026-09-29

Objectively speaking, there is no "standard answer" that applies to every Thai company. The registered capital should be worked backwards from four things at the same time: the statutory minimum capital for foreign market access, the arrangements for foreign employees, the financing structure of the BOI project, and the ODI on the China side together with the enterprise's actual operating funds. Setting it too high increases the pressure of paying in the capital and of capital verification, while setting it too low may affect the FBL, work permits, or BOI arrangements.

1. Four Variables That Determine the Registered Capital

  1. Minimum capital for foreign market access. If the company is a "foreigner / foreign juristic person" within the meaning of the Foreign Business Act, the DBD has specific minimum capital requirements. For businesses not on the restricted list, the minimum capital is in principle not less than THB 2 million; for restricted businesses that require a Foreign Business License (FBL), this should not be simplified as "a fixed THB 3 million" - under the current rules it is generally calculated at 25% of the estimated average annual expenditure of each business over the next three years, and each item must be no less than THB 3 million.

  2. Arrangements for foreign employees. In practice, non-BOI enterprises usually need to consider the registered capital, Thai employees, and social security conditions together; Zhongxin Tax & Finance's current commercial practice uses roughly THB 2 million of paid-up capital per foreign employee for preliminary calculations, but the requirements of the labour and immigration authorities in force at the time and the specific circumstances of the enterprise ultimately govern.

  3. Financing structure of the BOI project. In principle, BOI requires a debt-to-equity ratio of no more than 3:1 for new projects, and the project itself must also meet the corresponding minimum investment requirement. The registered capital therefore cannot be set simply on the basis of "enough to register the company"; it should be calculated together with the project's total investment, loans, equipment, and production start-up plan.

  4. China ODI and real operating funds. If the funds are invested in Thailand from a Chinese domestic entity, the amount of registered capital, the equity structure, and the timing of the capital contribution must also connect with the ODI filing, the bank payment route, and the project's cash flow. Making a significant capital increase or adjusting the structure after registration will raise both the time and communication costs.

2. Zhongxin's Four-Dimension Table for Determining the Registered Capital

DimensionWhat to Ask FirstImpact on the Registered Capital
Business accessManufacturing, trading, or services? Does it involve an FBL?First meet Thailand's minimum capital and licensing requirements for foreign market access.
Staffing arrangementsHow many Chinese personnel are planned to work in Thailand long term?Non-BOI projects usually need to set aside corresponding paid-up capital and employment conditions.
BOI projectWill BOI be applied for? What are the project's total investment and financing structure?Coordinate the registered capital with the BOI project's investment and debt/equity structure.
Funding routeWill the funds be invested from mainland China, Hong Kong, Singapore, or another entity? This determines the ODI, the remittance rhythm, the paid-in arrangements, and the subsequent management of profit repatriation.

3. How Does Zhongxin Tax & Finance Usually Handle It?

Zhongxin does not recommend filling in an arbitrary registered capital figure first and then "fixing" it later. Before registration, the business type, foreign shareholding, BOI, foreign personnel, source of funds, and expected production start-up time are placed on a single table for calculation, and a capital plan is then determined that both meets the compliance requirements and does not tie up an excessive amount of funds.

OOverall coordination structureDesign the equity, capital, business scope, BOI, and operating funds together before registration, avoiding repeated capital increases or structural changes later.
DChina-Thailand dual-track collaborationThe Thailand side checks the DBD/BOI and local requirements, while the China side considers the ODI and head-office funding arrangements in parallel.

4. Scope of Professional Services

Registered capital involves several rule systems, including company registration, foreign market access, BOI, work permits, and cross-border funds, and a figure cannot be given directly on the basis of the industry name alone. Zhongxin Tax & Finance can calculate the Thai company registration, FBL, BOI, and the Thailand-side capital paid-in arrangements; the ODI within China and the bank outward remittance procedures should be confirmed in parallel in light of the actual requirements of the domestic competent authorities and professional institutions.

Policy Sources / Professional Basis

Policy verification note: the statement that "the minimum capital for FBL restricted businesses = a fixed THB 3 million" has been recalibrated against policy - the DBD's current published guidance calculates it using the estimated expenditure formula and sets a floor of no less than THB 3 million for each item.

  1. Department of Business Development (DBD), Ministry of Commerce of Thailand, one-day incorporation guideline for a company limited: the par value of the company's shares must not be less than THB 5 per share, and at incorporation the directors' first call for payment of shares must not be less than 25% of the par value per share.

  2. Department of Business Development (DBD), Ministry of Commerce of Thailand, Section 14 of the Foreign Business Act B.E. 2542 (1999) and the DBD foreign business guidelines: the minimum capital for businesses not on the restricted list is not less than THB 2 million; for listed businesses requiring a licence, the minimum capital is calculated using the prescribed formula, and each item must be no less than THB 3 million.

  3. Thailand Board of Investment (BOI), Criteria for Project Approval: the debt/equity ratio of a new project must not exceed 3:1; in principle the minimum investment for a general project is not less than THB 1 million (excluding land and working capital, unless otherwise specified for the particular activity).

  4. Zhongxin, "Business Services Department New Employee Training Manual V2.0": the current commercial practice on registered capital, non-BOI foreign employees, and the landing timeline for the four categories of enterprises.

5. Recommended Next Step: Work Out the Capital and Investment Structure Before Registration

If your company has already determined the type of business it will conduct in Thailand, it is strongly recommended to carry out a preliminary review of the capital and investment structure before submitting the registration to the DBD. This makes it possible to identify at the same time whether there are conflicts among the FBL, BOI, foreign employees, ODI, and the rhythm of the capital paid-in.
