A more accurate way to put it: the registered capital of a BOI project should be paid in full within the period specified in the promotion certificate, and BOI's current published position usually requires that it be fully paid up "no later than the full-operation start-up date." The exact timing is still governed by the registered capital and capital call conditions in your promotion certificate.
It is therefore not advisable to treat "capital must be 100% paid in before duty-free equipment imports" as a uniform rule for all projects. Equipment imports, full operation start-up, and capital paid in are interrelated but not identical milestones. An enterprise should schedule them according to the certificate conditions and its actual funding path.
The registered capital conditions in the promotion certificate. The certificate may directly specify the registered capital or the funding requirements, and this is the first basis for judging whether the obligations are being performed on time.
The full operation start-up milestone. BOI's official explanation states that "full operation start-up" is not the enterprise's first production or sale, but the point at which the project has completed its investment in accordance with the promotion certificate conditions and has been inspected by the BOI; the public FAQ also makes clear that the total registered capital of the project should be fully paid in before the full operation start-up date.
The capital outflow milestone on the China side. Where a Chinese domestic entity is contributing the capital, the ODI, the bank remittance, the receipt by the Thai bank, the accounting entries, and the subsequent capital verification certificates must all connect. However reasonable the registered capital is set, if the funding path and the BOI timetable are out of step, the project can still end up in a weak position.
Because capital verification is not a matter of a single accountant's report, but of whether "equity - registered capital - ODI - bank receipts - Thai bookkeeping - BOI conditions" can prove each other. Manufacturing projects in particular often invest in phases and purchase equipment in batches; if head office remits funds only according to the procurement plan and the Thailand side only books what has arrived, and the evidence is not organized until the BOI full operation start-up, the cost of rework will be high.
Zhongxin's advantage is that it has actual registered entities and professional teams in both China and Thailand: the China side understands the source of funds, the ODI, and head office's approval rhythm, while the Thailand-side accountant and auditor teams can check in advance whether the evidence is complete from the perspective of bank receipts, capital records, financial statements, and BOI inspection. Compared with a single agency, this dual-track review is better suited to cross-border capital milestones.
| CODE Model | Meaning | Role in This Question |
|---|---|---|
| O | Overall coordination structure | Registered capital is not an isolated figure; it must be designed together with the investment amount, liabilities, equity, and the source of funds. |
| D | China-Thailand dual-track coordination | Synchronize the China-side ODI and remittance rhythm with the Thailand-side receipts, bookkeeping, and BOI conditions. |
| E | Verifiable deliverables | Keep the bank receipts, shareholder contributions, accounting records, financial statements, and BOI documents to form a chain of capital verification evidence. |
The capital paid-in conditions for BOI projects differ from project to project, and the promotion certificate ultimately governs. Zhongxin can assist in organizing the Thailand-side registered capital, receipts, accounting, and BOI inspection documents, and coordinate the timing with the China-side funding arrangements; the ODI approval within China and the legal or regulatory judgments on the actual remittance of funds should be handled by the client in parallel in accordance with the requirements of the domestic competent authorities and professional institutions.
Thailand BOI / OSOS, Company Establishment FAQ: for a newly established BOI project the debt-to-equity ratio is generally no more than 3:1, and the total registered capital should be fully paid in before the full operation start-up date.
Thailand BOI, "Commencement of operations": full operation start-up means the project has completed its investment in accordance with the promotion certificate conditions, rather than the first production or sale.
If your company has already obtained the BOI certificate, it is advisable to put "the capital conditions specified in the certificate - the amount currently paid in - the future remittance plan - the full operation start-up date" on a single table for review. If any one of these milestones is unclear, it should be reviewed in advance before the equipment arrives on a large scale and before applying for full operation start-up, rather than waiting to fill in the documents at the BOI inspection.
